FTN Motion Limited: Motor Vehicle Order Agreement

Vehicle Identification Number (VIN): To be assigned during final delivery planning.
Documentation: Your Motor Vehicle Order Agreement (the “Agreement”) is made up of the following documents:
Vehicle Configuration: Describes the vehicle that you configured and ordered with the order fee of $100, excluding on-road and registration costs
Final Tax Invoice: This will be provided as your delivery date nears, including final pricing based on your final Vehicle Configuration, registration, on-road costs and transport if needed.
Terms & Conditions: These Terms & Conditions are effective from the date you place your order and make payment of your Order Fee (the “Order Date”).
Agreement to Purchase: You agree to purchase the vehicle (the “Vehicle”) described in your Vehicle Configuration from FTN Motion Limited, under the terms and conditions of this Agreement. If your Vehicle is new, it is priced and configured based on features and options available at the time of order, and you can confirm availability with an FTN representative. Options, features, or hardware released after you place your order may not be included in or available for your Vehicle.
Purchase Price, Taxes and Official Fees: The purchase price of the Vehicle is indicated in your Vehicle Configuration. This price lists an indicative excluding on-road expenses ( 150$ ) and transport. You will be responsible for paying additional taxes, costs, and fees. If the Vehicle needs to be shipped from a different location, you may incur extra costs ( 250$ on the North Island and 450$ for the South Island, rural areas might incur additional costs).
Order Process and Cancellation: Once you submit your order and the selected options become available, we will match your order to a vehicle and coordinate delivery. The Order Fee covers these activities and related processing costs. The Order Fee is not a deposit and will be credited toward your final purchase price. Until the Vehicle is registered in your name, you may cancel the order at any time, but the Order Fee is non-refundable. Should you cancel the order, fail to take delivery within three (3) months, or breach this Agreement, we may retain the Order Fee as liquidated damages, to the extent not prohibited by law.
Changes and Payment: Because your Vehicle is custom-manufactured, changes to your configuration may be difficult to accommodate and could lead to price increases. Any changes will be reflected in a subsequent Vehicle Configuration, which will become part of this Agreement. The Final Tax Invoice will credit the amount of your Order Fee to the final price. The purchase price on your Final Tax
Invoice is payable prior to or upon delivery, and the title passes only when payment is made in full, and the Vehicle is delivered to you.
Delivery: We will notify you when your vehicle is ready for delivery at your address or another agreed location. You agree to schedule and take delivery within one week of the date provided. If delivery is delayed due to your unavailability, your order may be cancelled, and the vehicle made available for sale to other customers.
The estimated delivery date is only an estimate, and your actual delivery depends on multiple factors, including configuration and manufacturing availability. A security interest will be retained in the Vehicle until all obligations have been fulfilled.
Registration : When placing a Preorder for a Bike, You represent and warrant that all information provided is accurate, and it is Your responsibility to keep this information current at any time by emailing Hello@ftnmotion.com, FTN Motion shall not be liable for inaccurate or outdated information.
Warranty: Your Streetdog comes with a New Vehicle Limited Warranty, provided at or before delivery. A written copy is also available in your manual. This warranty is valid only within New Zealand ("Home Jurisdiction"). If your vehicle requires warranty service outside of New Zealand, you will be responsible for all associated costs to return the vehicle for service.
The warranty period is 24 months or 10,000 km (whichever comes first) from the delivery date, covering all components, including the battery, and the frame.
To maintain your warranty, service checks must be performed by authorised FTN personnel or service partners. Any unauthorised work will void the warranty. Please note, the warranty does not cover wear-and-tear items such as tyres, tubes, cables, and brake pads.
For warranty claims, ensure you are the bike's registered owner and have the purchase receipt and service records available. Submit these details to servicing@ftnmotion.com. We will repair or replace any defective products if the warranty conditions are met.
The warranty is transferable upon sale. Please inform us when transferring ownership. It remains valid as long as the bike and accessories are used properly and according to the manual's operating guidelines.
Limitation of Liability: We accept liability to you for our breach of contract or negligence under the principles applied by the courts and for breach of any non-excludable rights under consumer protection laws, but to the maximum extent permitted by law, we are not liable for any incidental, special, or consequential damages arising out of this Agreement and your sole and exclusive remedy under this Agreement will be limited to reimbursement of your Order Payment. If you are or hold yourself out to be acquiring the Vehicle for business purposes, the provisions of the Consumer Guarantees Act 1993 shall not apply.
No Resellers; Discontinuation Cancellation: You acknowledge and agree that FTN Motion Limited and its affiliates sell motorbikes directly to end-consumers, and that you are not purchasing the Vehicle for the purpose of carrying on the business of motor vehicle trading, as defined under the Motor Vehicle Sales Act 2003. We may unilaterally cancel any order that we believe has been made with a view toward resale of the Vehicle or that has otherwise been made in bad faith. This includes orders for which a third party is facilitating or brokering the sale, or if the vehicles are to be exported to somewhere other than where you tell us you will be registering the Vehicle. We may also cancel your order if we discontinue a product, feature, or option after the time you place your order, do not take delivery of your Vehicle within three (3) months of the date of this Agreement for no fault of ours, breach this Agreement, or if we determine that you are acting in bad faith.
Export/Import: We do not provide any assistance or support with respect to the export, transportation, logistics, homologation, or registration of any of our vehicles to any jurisdiction outside of the Home Jurisdiction. This means, among other things, that we will not provide any documents, test reports, certifications, or any other correspondence regarding the status of any of our vehicles for the purposes of facilitating any export or import outside authorised FTN Motion channels.
Governing Law; Integration; Assignment: The terms of this Agreement are governed by, and to be interpreted according to, the laws of New Zealand. If a dispute or complaint arises in relation to this Agreement under the Consumer Guarantees Act 1993, the Sale of Goods Act 1908, or the Fair Trading Act 1986, the dispute or complaint may be referred by either you or us to the Motor Vehicles Disputes Tribunal. Terms relating to the purchase not expressly contained herein are not binding. We may assign this Agreement at our discretion to one of our affiliated entities by prior notice to you.
This Agreement is entered into and effective as of the date you accept this Agreement, by electronic signature or other acceptance method.
